MEC Adelaide restructures with Peter Bucklow to move to executive chairman

GroupM media agency MEC is to restructure its Adelaide operations with veteran agency boss Peter Bucklow to step back into a non-executive chairman’s role.
Under the restructure, Ten Adelaide general sales manager Royce Zygarlicki will join the agency and replace Bucklow in the role of MEC Adelaide managing director.
“This will ensure a smooth transition,” MEC CEO Peter Vogel told Mumbrella, “In this role Peter will ensure the smooth running of the business under its new management structure. Peter has done an outstanding job of growing MEC in Adelaide.
can someone tell me what a “non executive chairman” actually does?
Given there are no small shareholders interests to look after (typical chairman role) – here there is one 100% shareholder in WPP who are very much involved in the business and putting controls on it
sounds like a cushy job getting paid to do not much. lucky for some..
