Vivendi shareholders approve Havas split-off
Havas will start operating as an independent entity after a historic decision to split Vivendi’s businesses was approved by shareholders this week.
Under the chairmanship of Yannick Bolloré, the separation was approved by more than 97.5% of the shareholder votes.
Vivendi’s entities – Havas, Canal+, and Louis Hachette Group – will trade independently from December 16, 2024, on the London Stock Exchange, Euronext Amsterdam, and Euronext Growth Paris, respectively.
“We are delighted with the very high adoption rate of our spin-off project. This undisputable result confirms the strong support of our shareholders for this transformative transaction,” said Bolloré, Havas chairman.
“The Supervisory Board would like to warmly thank Arnaud de Puyfontaine and the whole management board, all the teams involved in this project, our different advisors and our shareholders for their trust.
“We are convinced that this new chapter for Canal+, Havas and Louis Hachette Group will be very promising and create value for all stakeholders.”
Havas has three main business lines – creative, media and health – with more than 22,000 employees globally.
In its prospectus, Havas said the move will provide additional strategic and financial flexibility to support its growth moving forward.
It said it would provide the holdco the “capacity to independently allocate their capital to address their specific market dynamics, optimise their respective capital structure in an effort to drive profitable growth and pursue their strategic objectives, including through acquisitions and other growth opportunities”.
